Delivery of Digital Content Downloads
When you purchase any type of digital content from my website, https://mysticalsoul-waves.com or my YouTube channel, https://www.youtube.com/@MysticalSoul-Waves a link will be provided for downloading the digital content.
I do not provide a recording of the 1:1 session, but you can record audio on your own computer or phone if you’d like a recording of your session.
Refunds & Cancellations for Services and Content
Digital Content Downloads: All sales are final and non-refundable. Due to the nature of digital content data, we cannot refund digital content downloads.
Private 1:1 or other types of Sessions: Private 1:1 or other types of sessions are non-refundable, but depending on the circumstances, at my discretion, various options may be offered for a discount or use of the funds to be used on a digital content download.

All rights are reserved for any content or material that I offer online or offline. There is to be no part of my content or material that can be reproduced in any format, such as mechanical, photographic, or electronic process, or in the form of any type of recording; nor may it be stored in a retrieval system, transmitted, or otherwise copied for public or private use—other than for “fair use” as brief quotations embodied in articles and reviews, unless prior written permission from Dianne Calhoun, owner of Mystical Soul-Waves LLC has been obtained.
Dianne Calhoun, owner of Mystical Soul-Waves LLC, does not dispense medical advice or prescribe the use of any technique as a form of treatment for physical, emotional, or medical problems, either directly or indirectly. You should seek the advice of your own physician for these types of concerns or issues.
The intent of my services, material, energetic healing, and/or guidance is only to offer information of a general nature to help you in your pursuit for emotional, physical, and spiritual well-being. In the event you use any of what I provide like it is advice from a medical professional for yourself, Dianne Calhoun, owner of Mystical Soul-Waves LLC and her associates assume no responsibility for your actions.

Terms of Hiring or Purchasing items from Dianne Calhoun (Owner) or Associates of Mystical Soul-Waves LLC (MSW)
By registering for, signing up, or purchasing any tool, session, or service offered by Dianne Calhoun (Owner) or Associates of Mystical Soul-Waves LLC (MSW), (hereinafter referred to as MSW), I confirm and agree to the terms described here about the conditions of my participation.
All sales are final and non-refundable.
I acknowledge that I have voluntarily agreed to participate in and have requested MSW to guide, facilitate, or provide any of the following that I signed up for, which may be a spiritual guidance 1:1 session, group sessions, guided meditation, energetic healing or activations, downloadable audios or videos, etc.
I am aware that my participation in any of the services offered or consumption of downloadable digital content is not a substitute for psychiatric treatment, psychotherapy, therapeutic counseling, medication, medical treatment, or any other form of professional therapy that is offered by a medical specialist.
I am voluntarily participating in the services offered or consumption of the downloadable digital content through my own free will, and I accept responsibility for my psychological, mental, emotional, energetic, physical, and spiritual well-being.
I acknowledge my sovereign autonomy in making this decision.
For and in consideration of my participation in these individual or group sessions or consuming of digital content, I, on behalf of myself and my assigns, heirs, executors, guardians, and other legal representatives, release, discharge, waive and forever relinquish Dianne Calhoun (Owner), Partners, or Associates of Mystical Soul-Waves LLC (MSW) from any and all claims, known or unknown, arising out of or in any way connected with my participation in my involvement for these individual or group sessions or consuming of digital content, and this is not limited to, any information provided to me or my statements made during participation or consumption of the services or digital content.
Further, I, on behalf of myself and my assigns, heirs, executors, guardians and other legal representatives, release, discharge, waive and forever relinquish any actions or causes of action whatsoever that may later arise, and I agree that under no circumstances will I or my assigns, heirs, executors, guardians and any other legal representatives, prosecute or present any claims against, sue or seek to attach the property of Dianne Calhoun (Owner), Partners, or Associates of Mystical Soul-Waves LLC (MSW), and that I waive all actions, claims or demands that I now or hereafter may have, for any injuries suffered by me during my participation or involvement for these individual or group sessions or consuming of digital content, resulting from any acts or omissions of MSW, or any Partners, or Associates of MSW, or resulting from the acts or omissions of any other participant in the individual or group sessions or consuming of digital content.
I, for myself and my assigns, heirs, executors, guardians and other legal representatives, hereby agree that in the event of any claim for damages shall be prosecuted against Dianne Calhoun (Owner), Partners, or Associates of Mystical Soul-Waves LLC (MSW) as a result of my acts or omissions, that I, or my estate, shall indemnify and save harmless Dianne Calhoun (Owner), Partners, or Associates of Mystical Soul-Waves LLC (MSW), from any and all claims or causes of action by whomever and wherever made or presented for damages, including cost and expenses of defending the same.
To the extent that any lawsuit, claim or other formal proceeding arises out of or in relation to this agreement, the prevailing party shall be entitled to reasonable attorneys’ fees and costs.
I further acknowledge and understand that any information provided during this my participation in these individual or group sessions or consuming of digital content or any other statements made during same shall be considered confidential and shall not be disclosed except as required by law.
I have carefully read and considered this Agreement and fully understand its contents, terms, and significance and understand the legal consequences of signing this Agreement. I am aware that this agreement contains a release of liability and free will agreement between myself and Dianne Calhoun (Owner), Partners, or Associates of Mystical Soul-Waves LLC (MSW), and I sign this agreement of my own free will.
By paying for or using any services, products, or tools, free or paid, offered by Dianne Calhoun (Owner), Partners, or Associates of Mystical Soul-Waves LLC (MSW), I agree to abide by the terms and conditions listed above.

You agree that the Site itself, as well as all content, videos, training materials, products, services and/or other materials, made available on the Site by us or other third parties, as well as the look and feel of all of the foregoing, (collectively referred to as the “Content”) are maintained for your personal use and information by Dianne Calhoun (Owner), Partners, or Associates of Mystical Soul-Waves LLC (MSW) and are the property of the MSW and/or its third party providers.
You agree that such MSW Content shall include all proprietary videos, HTML/CSS, JavaScript, graphics, voice, and sound recordings, artwork, photos, documents, and text as well as all other materials included in the Site, excluding only the materials you provide.
Subject to your compliance with these Terms of Use, MSW hereby grants you a limited license, which is non-exclusive, non-transferable, and non-sublicensable, to access, view, and use the Site solely for your personal purposes. MSW has the right, but has no obligation, to remove content and accounts containing materials that it deems, in its sole discretion, to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Use.
If you believe that your intellectual property rights are being violated and/or that any work belonging to you has been reproduced on the Site or in any Content in any way, you may notify MSW at mysticalsoulwaves@ gmail dot com.
Please provide your name and contact information, the nature of your work and how it is being violated, all relevant copyright and/or trademark registration information, the location/URL of the violation, and any other information you believe is relevant.While MSW uses reasonable efforts to include accurate and up-to-date information in the Site, MSW makes no warranties or representations as to its accuracy. MSW assumes no liability or responsibility for any errors or omissions in the content of the Site.
When you register with MSW and/or this Site, you expressly consent to receive any notices, announcements, agreements, disclosures, reports, documents, communications concerning new products or services, or other records or correspondence from MSW. You consent to receive notices electronically by way of transmitting the notice to you by email.

MSW shall not be responsible for any performance or service problems caused by any third-party website or third-party service provider (including, for example, your web service provider service, Stripe payment services, your software and/or any updates or upgrades to that software). Any such problem shall be governed solely by the agreement between you and that provider.
MSW reserves the right to determine, in its sole discretion, whether MSW is responsible for any such malfunction or disruption. MSW also reserves the right to limit your use of the site and/or the content or to terminate your account should MSW determine that you have violated these terms of use, or that you have violated any other rules or conditions of MSW.
MSW reserves the right to refuse access to the site and/or MSWs content, products and/or services to anyone in its sole discretion. MSW reserves the right to determine, in its sole discretion, whether MSW is responsible for any such malfunction or disruption. MSW may, in its sole discretion, refund the initial fee charged for any use of the site and/or any content or a pro-rata portion thereof consistent with MSWs refund policy. MSW shall refuse any refund thirty (30) days after your payment for use of the site and/or any content, either pursuant to MSWs customer license agreement or otherwise, regardless of the reason for disruption.
In no event shall MSW be liable for any special, incidental, indirect, punitive, reliance or consequential damages, whether foreseeable or not, including, but not limited to, damage or loss of property, equipment, information or data, loss of profits, revenue or goodwill, cost of capital, cost of replacement services, or claims for service interruptions or transmission problems, occasioned by any defect in the site, the content, and/or related materials, the inability to use services provided hereunder or any other cause whatsoever with respect thereto, regardless of theory of liability. This limitation will apply even if MSW has been advised or is aware of the possibility of such damage.
You agree to indemnify and hold MSW and Dianne Calhoun (Owner), each of Partners, or Associates, harmless from any and all liabilities, claims, damages and expenses, including reasonable attorney’s fees, arising out of or relating to (i) your breach of this Agreement, (ii) any violation by you of law or the rights of any third party, (iii) any materials, information, works and/or other content of whatever nature or media that you post or share on or through the Site, (iv) your use of the Site or any services that MSW may provide via the Site, and (v) your conduct in connection with the Site or the services or with other users of the Site or the services. MSW reserves the right to assume the exclusive defense of any claim for which we are entitled to indemnification under this Section. In such event, you shall provide MSW with such cooperation as is reasonably requested by MSW.
The provisions of these Terms of Use are for the benefit of MSW, its subsidiaries, affiliates and its third-party content providers and licensors, and each shall have the right to assert and enforce such provisions directly or on its own behalf.
This agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without giving effect to any principles of conflicts of law. You further submit to the exclusive jurisdiction of the state and federal courts sitting in Arapahoe County, Colorado. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from this agreement and will not affect the validity and enforceability of any remaining provisions.
These Terms of Use may be revised from time to time by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the then current Terms of Use to which you are bound.
